CateLMS Terms of Use

Effective Date July 15, 2026
Last Updated July 15, 2026
Supersedes HS2C.Org Terms of Use dated November 10, 2025

1. Agreement to These Terms

(a) CateLMS is a product of HS2C, Inc. (“HS2C,” “we,” “us,” or “our”). These Terms of Use (“Terms”), together with our Privacy Policy, form a legally binding agreement between you and HS2C governing your access to and use of the CateLMS platform (the “Service”).

(b) The Service includes the CateLMS web application and dashboards available at catelms.com; the CateLMS mobile applications for iOS and Android; the family portal; the student portal where it is made available; the CateLMS Sync browser extension; the Cate AI assistant; and related tools, content, documentation, and support. Our public website at catelms.com (the “Site”) is also governed by these Terms.

(c) PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT, OR BY ACCESSING OR USING THE SERVICE, YOU AGREE TO THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

2. Relationship to HS2C.Org

CateLMS is the successor platform to the HS2C.Org Portal. These Terms replace the HS2C.Org Terms of Use for all services delivered through CateLMS. Content and data previously provided through the HS2C.Org Portal remain subject to the commitments in any signed agreement with your school or district.

3. School and District Agreements; Order of Precedence

(a) If your school, district, or organization has a separate written agreement with HS2C — such as a Master Services Agreement, Order Form, or student data privacy agreement, including the Utah Student Data Privacy Agreement (UT-NDPA) or a subscription to it under its General Offer of Terms (each a “Customer Agreement”) — the Customer Agreement controls wherever it conflicts with these Terms, including with respect to Student Data.

(b) If you accept these Terms on behalf of a school, district, or other organization, you represent that you are authorized to bind that organization.

(c) Nothing in these Terms requires a public school, district, or other governmental entity to provide an indemnity, waive governmental immunity, or accept any term that applicable law prohibits it from accepting.

4. Accounts and Eligibility

(a) Educators. Teachers, counselors, administrators, and other school staff (“Educators”) may create or be provisioned accounts. Educators may use the Service only for legitimate educational purposes, within the scope of their employment, and in compliance with their school’s or district’s policies.

(b) Students. Student accounts are created or authorized by a school or district. Students cannot self-register. The Service is designed for K–12 use; where students under 13 use the Service, the school authorizes that use as described in our Privacy Policy.

(c) Parents and Guardians. Parents and legal guardians may access the family portal as authorized by the school or district. Access is limited to information about their own student and is subject to district configuration and any sharing controls the district enables.

(d) Account Security. You are responsible for activity under your account. Keep your credentials, passkeys, and devices secure, do not share your account, and notify your school and us at support@catelms.com promptly if you suspect unauthorized access. Schools and districts may require multi-factor authentication or other security settings for their users.

(e) Accurate Information. You agree to provide accurate account information and keep it current.

5. Educators Using CateLMS Independently

Individual Educators may subscribe to CateLMS without a district-level Customer Agreement. If you do so:

  • You represent that your use of the Service with student information is permitted by your school or district’s policies, and you will obtain any approval your school or district requires before entering student information.
  • Student information you enter remains the education record of your school or district. We process it on the school’s behalf under the commitments in our Privacy Policy, and we will not use it for any other purpose.
  • Your school or district may contact us to review, export, assume administrative control of, or delete student information associated with your account, and we will honor its instructions consistent with law.
  • If your school or district later enters into a Customer Agreement covering your account, that agreement will govern.

6. License to Use the Service

(a) Subject to your compliance with these Terms and any applicable Customer Agreement, HS2C grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service, and the features made available to your account, for authorized educational purposes.

(b) Features available to you depend on your role, your subscription, and your school or district’s configuration. Features may include classroom and gradebook tools, attendance, assessments, lesson planning, counseling and student-support tools, graduation and college-and-career readiness tracking, college and scholarship exploration, family communication, reporting, AI assistance, and SIS integrations.

(c) All rights not expressly granted are reserved by HS2C and its licensors.

7. Subscriptions, Billing, and Complimentary Access

(a) Paid Subscriptions. Some features require a paid subscription. Prices, billing intervals, and included features are shown at the time of purchase. Payments are processed by our payment processor, Stripe; we do not receive or store full payment card numbers.

(b) Renewal. Subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel before renewal. We will give you reasonable advance notice of any price change, which will apply at your next renewal.

(c) Cancellation and Refunds. You may cancel at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and you will retain access until then. Except where required by law or stated at the time of purchase, fees are non-refundable and we do not provide refunds or credits for partial periods.

(d) Taxes. Prices do not include applicable taxes unless stated. You are responsible for taxes associated with your purchase, other than taxes on our income.

(e) School and District Purchases. Purchases by a school or district are governed by the applicable Customer Agreement, order form, or purchase order.

(f) Referral Credits. We may offer account credits for referrals. Credits have no cash value, are not transferable, may be subject to program rules posted at the time, and may be withdrawn if obtained through fraud, self-referral, or abuse. Referral invitations may be sent only to Educators, never to students.

(g) Complimentary Accounts. We may provide complimentary access — for example, to founding testers or pilot participants. Complimentary access is provided on the terms communicated when it is granted and remains subject to these Terms.

8. Beta Features and Waitlist

We may offer access by waitlist or invitation, and may make features available as “beta,” “preview,” or similar. Beta features may change, be incomplete, or be discontinued, and are provided as described in Section 20. We will not reduce the privacy or security protections that apply to Student Data in any beta feature.

9. AI Features

(a) The Service includes optional AI-assisted features, including the Cate assistant, that can help draft communications, feedback, lesson materials, summaries, and similar content. Your school or district may disable AI features for its organization.

(b) AI output is a draft. It may be inaccurate, incomplete, or inappropriate for your situation. You are responsible for reviewing, editing, and approving AI output before relying on it or sharing it, and for using your professional judgment. AI output is not legal, medical, psychological, financial, or admissions advice.

(c) AI is not used to make decisions about students, and AI does not generate grades, attendance, progress calculations, or the data sections of reports; those are computed from records.

(d) Our handling of information in connection with AI features — including removal of student names before transmission and the exclusion of counselor note bodies and financial information — is described in our Privacy Policy.

(e) You may not use AI features to generate unlawful, harassing, deceptive, or harmful content, or to attempt to extract information about other users.

10. CateLMS Sync Extension and SIS Integrations

(a) Your SIS is the system of record. CateLMS works alongside your school’s student information system (“SIS”) and learning management systems. Where you use the CateLMS Sync browser extension, the extension enters information into your SIS on your behalf, only on pages you open and at your direction.

(b) Your responsibility to verify. You are responsible for reviewing information the extension enters and for confirming that grades, attendance, and other entries are correct in your SIS before they are finalized, posted, or reported. Before writing, the extension saves a snapshot of the affected entries so changes can be reverted from your dashboard during the retention period described in our Privacy Policy.

(c) Third-party systems. SIS and LMS products are operated by third parties. Their screens and behavior can change without notice, which may cause the extension or an integration to stop working or behave unexpectedly. Your use of those systems remains subject to their terms and your district’s policies, and you are responsible for using the extension only where your district permits it.

(d) Rostering and single sign-on. Where your district enables rostering (for example, OneRoster) or single sign-on (for example, ClassLink, Clever, Google, or Apple), the district authorizes HS2C to receive and process that data to provide the Service, under the district’s direction.

11. Acceptable Use

You agree not to, and not to permit or encourage others to:

  • Access or attempt to access student information or accounts you are not authorized to access, or circumvent any access control, permission, rate limit, or security measure.
  • Use the Service in violation of FERPA, COPPA, PPRA, state student privacy laws, district policy, or any other applicable law.
  • Share student information with anyone who is not authorized to receive it, or export or download student information for purposes outside your educational responsibilities.
  • Reverse engineer, decompile, or disassemble the Service, except to the extent applicable law expressly permits.
  • Copy, modify, create derivative works of, sell, resell, or distribute the Service or its content, except as expressly permitted.
  • Use scrapers, bots, or other automated means to access or copy the Service, other than the integrations and extension we provide.
  • Upload malicious code, or interfere with or disrupt the Service, its infrastructure, or other users.
  • Upload or transmit content that is unlawful, infringing, harassing, threatening, or harmful to students or others.
  • Use the Service to send unsolicited commercial messages, or to contact students for non-educational purposes.
  • Probe or test the vulnerability of the Service without our prior written authorization. Good-faith security researchers may contact privacy@catelms.com.

12. Student Data and FERPA

(a) Definition. “Student Data” means information that directly relates to an identified or identifiable student and that is provided to HS2C by or at the direction of a school or district — including by Educators, students, or parents acting under school authorization — for educational purposes.

(b) School official. To the extent HS2C receives Student Data, HS2C acts as a “school official” with a legitimate educational interest under FERPA (34 CFR § 99.31(a)(1)), under the direct control of the school or district with respect to the use and maintenance of that data.

(c) Our commitments. Student Data remains the property and under the control of the school or district. We use Student Data solely to provide the Service and as permitted by the Customer Agreement and applicable law, including the Utah Student Data Protection Act where it applies. We do not sell Student Data, use it for targeted advertising, build non-educational profiles of students, or use it to train AI models.

(d) Requests. Requests to inspect, correct, export, or delete student records should be directed to the student’s school or district, which will coordinate with us. You may also contact privacy@catelms.com.

13. Your Content

(a) “User Content” means content you submit to the Service, such as lesson plans, assessments, messages, notes, goals, essays, and profile details. As between you and HS2C, you retain your rights in your User Content. Where User Content is also Student Data, Section 12 and our Privacy Policy control.

(b) You grant HS2C a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display your User Content solely to operate, secure, support, and improve the Service and to provide it to you and to the users you choose to share it with. This license ends when your User Content is deleted from the Service, except for backup copies retained for a limited period and content you have shared with others.

(c) You represent that you have the rights needed to submit your User Content and that it does not violate these Terms or anyone’s rights.

(d) If you share content with other Educators in your organization or through any sharing feature, you grant those users the rights needed to use it as that feature allows.

14. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect information, including Student Data. Where a Customer Agreement or student data privacy agreement with your district differs from the Privacy Policy with respect to Student Data, the signed agreement controls.

15. Intellectual Property

(a) HS2C and its licensors own all rights, title, and interest in the Service, including its software, interfaces, designs, documentation, and the content we provide — including the High School to College Scholarship Guide and other curriculum and guidance content. Our content is licensed for educational use within the Service by authorized users and may not be reproduced or distributed outside the Service without our written permission.

(b) “CateLMS,” “Cate,” “HS2C,” and related names and logos are trademarks of HS2C, Inc. or its licensors. You may not use them without our prior written consent. The Service is developed by RealCove LC on behalf of HS2C.

(c) If you believe content on the Service infringes your copyright, contact support@catelms.com with a description of the work, the location of the material, and your contact information.

16. Third-Party Services and Data

The Service may link to or integrate with third-party services and public data sources, such as student information systems, identity providers, and the U.S. Department of Education College Scorecard. We do not control third-party services and are not responsible for their content, availability, or practices. College, cost, earnings, and scholarship information is provided for exploration and may be incomplete or out of date; confirm details directly with the institution or program. HS2C may partner with sponsors and nonprofit organizations to expand resources and scholarship opportunities; any scholarship program is governed by its own rules, and participation does not guarantee an award. We never share personally identifiable student information with sponsors.

17. Feedback

If you send us suggestions, ideas, or other feedback about the Service, you grant HS2C a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without obligation to you. Feedback does not include Student Data.

18. Mobile Applications

(a) The CateLMS mobile applications are published in the Apple App Store and Google Play by RealCove LC on behalf of HS2C. Your use of an app is also subject to the terms of the app store from which you downloaded it.

(b) Apple. If you downloaded an app from the Apple App Store, you acknowledge that: (i) these Terms are between you and HS2C (and RealCove LC as publisher), not Apple, and Apple is not responsible for the app or its content; (ii) your license is limited to use on Apple-branded devices you own or control, as permitted by the App Store Usage Rules; (iii) Apple has no obligation to provide maintenance or support for the app; (iv) if the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund any purchase price paid for the app, and, to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app; (v) HS2C, not Apple, is responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and consumer protection claims; (vi) HS2C, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party claim that the app infringes intellectual property rights; (vii) you represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and are not on any U.S. Government list of prohibited or restricted parties; (viii) you must comply with applicable third-party terms when using the app; and (ix) Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as they relate to the app.

(c) Questions or claims about the apps may be directed to the contact information in Section 26.

19. Suspension and Termination

(a) You may stop using the Service at any time. Educators may close their accounts from account settings or by contacting us; student and parent accounts are managed by the school or district.

(b) We may suspend or terminate your access if you violate these Terms, if your account appears to be compromised, if needed to protect students, other users, or the Service, if your subscription is not paid, or as required by law or a Customer Agreement. Where reasonable, we will give notice and an opportunity to resolve the issue first.

(c) When your access ends, your license ends. Student Data is retained, returned, or deleted as directed by the school or district and as described in our Privacy Policy. Educators with independent accounts may request an export of their own User Content within 30 days after closing their account.

(d) Sections 12, 13, 15, 17, and 20 through 26 survive termination.

20. Disclaimers

EXCEPT AS EXPRESSLY STATED IN A CUSTOMER AGREEMENT, THE SERVICE, THE SITE, AND ALL CONTENT, AI OUTPUT, AND INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT INTEGRATIONS WITH THIRD-PARTY SYSTEMS WILL CONTINUE TO FUNCTION, OR THAT ANY PARTICULAR OUTCOME — INCLUDING GRADUATION, ADMISSION, OR A SCHOLARSHIP AWARD — WILL BE ACHIEVED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

21. Limitation of Liability

(a) TO THE FULLEST EXTENT PERMITTED BY LAW, HS2C AND ITS LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) TO THE FULLEST EXTENT PERMITTED BY LAW, HS2C’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS PAID BY YOU OR YOUR SCHOOL OR DISTRICT TO HS2C FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) FIVE HUNDRED U.S. DOLLARS ($500).

(c) These limitations do not limit liability that cannot be limited under applicable law, and do not limit HS2C’s obligations regarding Student Data under a Customer Agreement.

22. Indemnification

If you use the Service as an Educator or on behalf of an organization, you agree to defend, indemnify, and hold harmless HS2C and its officers, directors, employees, and agents from third-party claims, damages, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of the Service, or your violation of law or third-party rights. This section does not apply to students, to parents or guardians in that capacity, or to any public entity to the extent law prohibits it from providing an indemnity.

23. Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. Subject to any different provision in a Customer Agreement, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Salt Lake County, Utah.

24. Use Within the United States; Export

The Service is operated from and intended for use in the United States. If you access it from elsewhere, you do so at your own initiative and are responsible for compliance with local law. You represent that you are not located in a sanctioned country and are not a prohibited party under U.S. export control or sanctions laws, and you will not export the Service in violation of those laws.

25. Changes; General Terms

(a) Changes to these Terms. We may update these Terms. We will post the updated Terms with a new Effective Date and, for material changes, notify account holders by email or in the Service at least 30 days before the changes take effect. Continued use after the Effective Date constitutes acceptance. Changes do not alter a signed Customer Agreement.

(b) Changes to the Service. We may add, change, or remove features. If we discontinue a material feature of a paid subscription, we will give reasonable notice and, where appropriate, a prorated refund of prepaid fees for that feature.

(c) Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and HS2C regarding the Service, except as provided in Section 3.

(d) Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, subject to the Student Data commitments in our Privacy Policy and any Customer Agreement.

(e) Waiver; severability. Our failure to enforce a provision is not a waiver. If any provision is held unenforceable, the remainder stays in effect and the provision will be enforced to the maximum extent permitted.

(f) Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
